Another group, however, said it would oppose the proposed settlement when the class action lawsuit comes up for approval in Delaware Chancery Court on April 4.

Under a previously announced ''Dutch auction,'' Conrail invited each shareholder to tender shares at a price between $43 and $53. Conrail earlier announced it would repurchase the shares delivered at or below $49.

Chrysler Rebates

LEAD: The Chrysler Corporation extended its guaranteed rebate program through the end of March. The cash incentives range from $500 to $2,000 off the price of all Chrysler cars and trucks except for the popular mini-vans and the LeBaron convertible models. The announcement marks the second time Chrysler has extended the rebates since they were introduced in mid-December.
